TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern the purchase and use of website design, website template, hosting, domain, maintenance and related digital services supplied by Template Studio (“Template Studio”, “we”, “us” or “our”).
By placing an order, making payment, accepting a quotation, or instructing Template Studio to commence work, the client (“Client”, “you” or “your”) agrees to these Terms.
These Terms are governed by the laws of the Republic of South Africa.
1. OUR SERVICES
Template Studio provides website-related services which may include:
- Pre-designed and customised website templates;
- WordPress website setup and configuration;
- Website hosting;
- Domain registration or management;
- SSL certificates;
- Website maintenance;
- Website updates;
- Email or related digital services where specifically included;
- Search engine and Google Business integration where specified;
- Other digital services agreed to in writing.
The exact services included in a Client’s purchase are determined by the package, quotation, invoice or product description applicable to that purchase.
Anything not expressly included is considered outside the scope of the purchased service and may be quoted separately.
2. TEMPLATE-BASED WEBSITES
Template Studio specialises in providing websites using professionally developed templates and reusable design systems.
The Client acknowledges that:
a. the underlying template, layout, structure, components or design system may be used for other clients;
b. purchasing a website does not grant the Client exclusive ownership of the underlying template or Template Studio’s design system;
c. Template Studio may modify the template using the Client’s branding, colours, images, text, contact details and other business information; and
d. similarities may exist between the Client’s website and websites created for other Template Studio customers.
Unless expressly agreed otherwise in writing, no exclusivity is provided.
3. CLIENT CONTENT
The Client is responsible for supplying accurate information reasonably required to complete the website, including business details, contact information, logos, images, service information and other requested content.
The Client warrants that it owns, licenses or otherwise has permission to use all content supplied to Template Studio.
Template Studio will not be responsible for claims arising from copyright infringement, trademark infringement or other unlawful use resulting from material supplied or specifically requested by the Client.
4. WEBSITE CONTENT AND ACCURACY
The Client is responsible for reviewing the website before final approval or launch.
Although Template Studio will take reasonable care when preparing and transferring content, the Client remains responsible for confirming the accuracy of:
- telephone numbers;
- email addresses;
- physical addresses;
- prices;
- services;
- product information;
- legal information;
- business claims; and
- other information displayed on the website.
The Client must notify Template Studio of any errors within a reasonable period after receiving the website for review.
5. PAYMENT
Prices will be displayed on the Template Studio website, quotation, order or invoice applicable to the service.
Payment terms may vary depending on the selected package.
Template Studio may offer:
Upfront Website Packages:
The agreed website setup/design fee is paid upfront or according to the payment schedule stated at checkout or on the invoice.
Recurring or Subscription Packages:
An initial setup fee may be charged followed by recurring payments for the services included in the package.
Hosting:
Hosting may be billed annually in advance unless otherwise agreed.
Template Studio is not required to commence work, launch a website, renew hosting or renew third-party services until amounts due have been paid.
6. ANNUAL HOSTING
Where hosting is supplied by Template Studio, hosting is charged annually in advance unless another billing arrangement has been agreed in writing.
The Client will be notified of the hosting renewal and the amount payable.
Payment must be received by the stated due date to ensure uninterrupted hosting and related services.
Hosting fees may change from year to year as a result of infrastructure costs, third-party provider increases, exchange rates, licensing costs or general pricing adjustments.
Any applicable renewal price will be communicated to the Client.
7. NON-PAYMENT, SUSPENSION AND TERMINATION
Payment for hosting and recurring website services is essential to the continued operation of the Client’s website.
If an amount becomes overdue, Template Studio may issue written notice requiring payment.
Where the Consumer Protection Act 68 of 2008 or any other applicable law prescribes a notice or remedy period before termination, Template Studio will comply with that minimum period.
For fixed-term consumer agreements to which section 14 of the Consumer Protection Act applies, Template Studio may terminate the agreement 20 business days after giving written notice of the Client’s material failure to make payment, provided that the Client has not remedied the failure during that period.
Template Studio reserves the right, to the maximum extent permitted by applicable law, to suspend affected services while an account remains overdue.
If payment is not received within the applicable notice or remedy period, Template Studio may terminate the affected services at the earliest time permitted by law.
Termination may include:
- taking the website offline;
- terminating website hosting;
- disabling website services;
- terminating maintenance services;
- terminating email services supplied by Template Studio;
- declining to renew domains, licences or third-party services;
- removing the website from Template Studio’s hosting infrastructure; and
- ultimately deleting website files, databases, backups and associated account data where legally permissible.
Clients should therefore not assume that an unpaid website will remain hosted or recoverable indefinitely.
Template Studio will not be responsible for loss of business, leads, search-engine rankings, email, data, revenue or other losses resulting from lawful suspension or termination due to the Client’s failure to pay amounts due.
Any outstanding amounts remain payable notwithstanding suspension or termination.
8. WEBSITE DATA AFTER TERMINATION
Template Studio is not a permanent archival or backup service.
Following lawful termination of hosting, Template Studio may retain website files or backups temporarily for operational purposes but does not guarantee that any website or data will remain recoverable.
The Client is responsible for requesting any permitted website export or transfer before termination.
Template Studio may charge reasonable administration, migration, restoration or transfer fees where additional work is required.
9. DOMAINS
Where Template Studio registers or manages a domain on behalf of a Client, applicable registration and renewal fees must be paid when due.
Domain names remain subject to the rules, policies and procedures of the applicable domain registrar and registry.
Template Studio cannot guarantee that a domain will remain available where renewal fees have not been paid on time.
Template Studio is not liable for the loss of a domain caused by Client non-payment, incorrect Client information, registrar action or circumstances outside Template Studio’s reasonable control.
Where legally and technically possible, a Client may request transfer of a domain registered for that Client once all amounts relating to that domain and any agreed transfer services have been settled.
10. THIRD-PARTY SERVICES
Websites may rely on third-party services including WordPress, plugins, themes, payment gateways, hosting infrastructure, APIs, analytics services, email providers and other software.
Template Studio does not control these third parties and cannot guarantee their uninterrupted availability or continued compatibility.
Third-party providers may change their pricing, functionality, terms or availability.
Any third-party licence or service not expressly included in the Client’s package may be charged separately.
11. WEBSITE AVAILABILITY
Template Studio will use commercially reasonable efforts to maintain hosting availability but does not guarantee uninterrupted or error-free service.
Temporary downtime may occur because of:
- maintenance;
- software updates;
- security incidents;
- server failures;
- internet outages;
- DNS problems;
- third-party service failures;
- cyberattacks; or
- circumstances outside Template Studio’s reasonable control.
12. SECURITY
Template Studio will take reasonable measures to protect websites hosted or maintained by us.
However, no website, server or internet-connected system can be guaranteed to be completely secure.
Template Studio does not guarantee that a website will never experience hacking, malware, unauthorised access, data loss or other cybersecurity incidents.
The Client must use reasonable security practices, including protecting passwords and administrator credentials.
13. WEBSITE CHANGES AND MAINTENANCE
Changes included in a package will be described in the relevant package or service description.
Major redesigns, additional pages, custom functionality, integrations, extensive content changes or work outside the purchased package may incur additional charges.
Template Studio may provide a quotation before undertaking material work outside the agreed scope.
14. DELIVERY TIMES
Any delivery or completion timeframe provided by Template Studio is an estimate unless expressly guaranteed in writing.
Delivery may depend on the Client supplying required content, approvals, access credentials and payment.
Client delays may extend the completion date.
15. CLIENT DELAYS
Where a project cannot proceed because the Client has failed to provide required content, feedback, approval, credentials or other information, Template Studio may place the project on hold.
Such delay does not automatically entitle the Client to a refund for work already completed, resources allocated or third-party costs already incurred, subject always to applicable law.
16. CANCELLATION AND REFUNDS
Cancellation rights depend on the nature of the service, the Client and applicable South African law.
Nothing in these Terms is intended to remove or restrict a consumer right that cannot lawfully be excluded.
Where a statutory cooling-off period or cancellation right applies, Template Studio will honour that right.
Where services have already been performed, customised or supplied at the Client’s request, the treatment of cancellation and refunds will be determined according to applicable law and the circumstances of the order.
Third-party costs already incurred on behalf of the Client may be non-refundable where permitted by law.
17. INTELLECTUAL PROPERTY
Unless otherwise agreed in writing, Template Studio retains ownership of:
- reusable templates;
- underlying design systems;
- reusable components;
- proprietary code;
- development methods;
- processes;
- libraries;
- layouts; and
- other intellectual property developed independently of the Client’s specific content.
The Client retains ownership of its own logos, trademarks, photographs and other material supplied by the Client.
Once all amounts due for a website have been paid, the Client receives the rights necessary to use the completed website for its business, subject to third-party licences and these Terms.
18. PORTFOLIO USE
Unless the Client specifically requests otherwise in writing, Template Studio may display completed websites, screenshots, the Client’s business name and a link to the website as examples of Template Studio’s work in portfolios, marketing materials and social media.
19. LIMITATION OF LIABILITY
To the maximum extent permitted by South African law, Template Studio will not be liable for indirect, incidental, special or consequential loss arising from the use or inability to use the website or services.
This may include loss of:
- revenue;
- profits;
- customers;
- enquiries;
- data;
- search rankings;
- business opportunities; or
- reputation.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited under South African law.
20. NO GUARANTEE OF BUSINESS RESULTS
Template Studio creates websites intended to improve a Client’s professional online presence.
However, Template Studio does not guarantee:
- a particular number of enquiries;
- sales;
- revenue;
- search-engine rankings;
- Google rankings;
- advertising performance; or
- business growth.
Results depend on numerous factors outside Template Studio’s control.
21. PRIVACY AND PERSONAL INFORMATION
Template Studio will process personal information in accordance with applicable South African data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”).
Personal information may be processed where reasonably necessary to:
- provide services;
- process payments;
- communicate with Clients;
- administer accounts;
- maintain websites;
- provide support;
- meet legal obligations; and
- operate Template Studio’s business.

22. ELECTRONIC COMMUNICATION
The Client agrees that notices, invoices, renewal reminders and other communications may be sent electronically to the email address or other contact details supplied by the Client.
The Client is responsible for keeping its contact details current.
A Client’s failure to monitor an email address supplied to Template Studio does not, by itself, cancel payment obligations or renewal requirements, subject to any notice requirements imposed by applicable law.
23. CHANGES TO SERVICES AND PRICING
Template Studio may change its service offerings and pricing from time to time.
Price changes will not retrospectively alter amounts already paid for completed services.
Changes affecting future recurring or renewal services will be communicated as required by applicable law and the applicable service arrangement.
24. ACCEPTABLE USE
Clients may not use Template Studio’s services to host or distribute content that is unlawful, fraudulent, malicious, defamatory, infringing, abusive or otherwise prohibited by applicable law.
Template Studio may take reasonable action where necessary to protect its infrastructure, other customers, third parties or comply with legal obligations.
25. FORCE MAJEURE
Template Studio will not be responsible for delays or failures caused by circumstances reasonably beyond its control, including natural disasters, power failures, telecommunications failures, infrastructure outages, civil unrest, governmental action, cyberattacks or failures of third-party service providers.
26. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the maximum extent permitted by law.
27. ENTIRE AGREEMENT
These Terms, together with the applicable quotation, invoice, package description, checkout information, Privacy Policy and any written service-specific agreement, constitute the agreement between Template Studio and the Client concerning the relevant services.
28. GOVERNING LAW
These Terms are governed by the laws of the Republic of South Africa.
Any dispute arising from these Terms or Template Studio’s services will be dealt with in accordance with applicable South African law.

Clients may contact Template Studio using the details above regarding accounts, cancellations, complaints, hosting renewals or these Terms.
IMPORTANT NOTICE REGARDING HOSTING
Hosting is a recurring service and must be paid by the applicable renewal date.
Failure to pay may result in suspension and ultimately termination of the website and hosting services.
Where South African law requires Template Studio to provide notice and an opportunity to remedy non-payment before termination, Template Studio will provide the required notice. If the outstanding amount is not paid within that period, the website and associated hosting services may be terminated at the earliest time permitted by applicable law.
Once hosting has been terminated, Template Studio does not guarantee that website files, databases, email or backups can be recovered.
